These terms govern your use of the WitsCode website and services. They are provided for general information and are not legal advice. For questions about how they apply to your engagement, contact us using the details below.

1. Acceptance of terms

By accessing or using the WitsCode website or any of our services, you agree to be bound by these terms and conditions and any future modifications. If you do not agree, you should not use our services.

2. Services

WitsCode provides design, web development, marketing, operations, and automation services as scoped in individual project agreements or statements of work. The specifics of any engagement, deliverables, timeline, and fees, will be defined in writing for each project.

3. Payment terms

Unless otherwise agreed in writing, invoices are payable within 14 days of issue. Project work typically requires a 50% advance to commence, with the balance due on completion of the agreed milestones. Late payments may incur additional charges.

4. Intellectual property

On full payment, all custom deliverables created exclusively for the client become the client's property. WitsCode retains rights to underlying methods, tools, and any pre-existing materials used in the project, and reserves the right to feature completed work in our portfolio unless explicitly agreed otherwise.

5. Confidentiality

Each party agrees to keep confidential any non-public information shared during the engagement. This obligation survives termination of the agreement. We are happy to sign a mutual NDA on request before any commercially sensitive discussions begin.

6. Limitation of liability

To the maximum extent permitted by law, WitsCode's total liability for any claim arising out of or related to a project is limited to the fees paid by the client for the specific engagement giving rise to the claim. WitsCode is not liable for any indirect, incidental, or consequential damages.

7. Governing law

These terms are governed by the laws of India, without regard to its conflict-of-law principles. Any dispute will be resolved in the courts of Chennai, Tamil Nadu. The parties will attempt good-faith negotiation before initiating formal proceedings.
